RinkUp Terms of Service

Welcome to RinkUp, a product of Athlitix, Inc. ("RinkUp," "we," "our," or "us"). These Terms of Service ("Terms") govern your use of our mobile application, website, and related services (collectively, the "Services"), including our video analysis tools, analytics dashboards, model-based feedback, and any human coaching or connection features. By creating an account, accessing our app, or uploading any video or other content, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility

To use RinkUp, you must comply with all applicable laws and regulations and provide accurate information when creating your account. By accessing or using our Services, you represent that you have the authority to enter into this agreement and that all information you provide is true, current, and complete.

2. Accounts and Registration

To access our features, you must create an account and keep your credentials confidential. You are responsible for all activity that occurs under your account. You agree not to share your login information, use another person's account, or attempt to gain unauthorized access to the Services. We may suspend or terminate accounts that violate these Terms or applicable law.

3. Limited License Grant to RinkUp

When you upload, record, or otherwise provide videos, images, or related data ("Customer Data"), you retain full ownership of that content. You also grant RinkUp a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to:

• host, store, process, reproduce, modify, adapt, and display Customer Data;
• extract, analyze, and use the data (in anonymized or aggregated form) to operate, maintain, and improve our Services and underlying models;
• create derived analytics, embeddings, or statistical summaries from your data for product development and feature improvement;
• publicly display, publicly perform (including by means of a digital audio transmission), communicate to the public, reproduce, modify for the purpose of formatting for display, create derivative works as authorized in these Terms, and distribute your User Content, in whole or in part, in any media formats and through any media channels, in each instance whether now known or hereafter developed; and
• internally share such derivatives with our service providers, contractors, and research partners under confidentiality obligations.

This license survives account termination and applies only to the extent necessary for RinkUp's business operations and legitimate interests. You acknowledge that derived or anonymized data, model weights, and aggregated analytics created by RinkUp ("Developed Data") are the exclusive property of RinkUp. You represent that you have all necessary rights and permissions to upload or share the Customer Data and that your uploads do not infringe on others' rights or contain unlawful material.

4. Third-Party Services and Sharing

We may share anonymized or aggregated data, including Derived Data, with partners and service providers who help us operate or enhance the Services. These third parties are bound by contractual obligations to handle data securely and use it only for authorized purposes. RinkUp is not responsible for the content or practices of linked third-party websites or services.

5. Social Media & Community Use

RinkUp may include social features that allow users to post videos, share feedback, follow other users, and participate in community discussions (collectively, the "Community Features"). By using these features, you agree to interact respectfully and in accordance with these Terms and applicable laws.

RinkUp reserves the right to monitor, moderate, edit, or remove any content shared through its social or community features at its sole discretion and without prior notice. We may also suspend, restrict, or permanently delete any account that violates these Terms, creates risk or liability, or for any other reason we determine appropriate. RinkUp is under no obligation to explain such actions or to preserve or return any content removed or associated with a terminated account.

6. Data Retention

We retain Customer Data for as long as reasonably necessary to operate and improve the Services and for legitimate business, analytical, and legal purposes. When possible, Customer Data is anonymized or aggregated before reuse. Upon deletion of your account, raw Customer Data may be deleted or de-identified, but Derived Data and Developed Data may be retained indefinitely as they no longer identify you.

7. Disclaimers and Limitation of Liability

• Service "As-Is." RinkUp provides its Services, analytics, feedback, and recommendations on an "as is" and "as available" basis. We make no warranties, express or implied, about accuracy, reliability, or suitability for any purpose.
• No Medical or Coaching Guarantee. RinkUp's feedback and metrics are for informational purposes only. They are not professional medical, physical therapy, or performance advice.
• Injury Disclaimer. Sports and physical training carry inherent risks. You assume all responsibility and risk for any injury, damage, or loss that results from your use of our Services, including reliance on feedback or coaching suggestions.
• Limitation of Liability. To the maximum extent permitted by law, RinkUp and its affiliates will not be liable for indirect, incidental, consequential, special, or punitive damages, or any loss of profits, data, or goodwill arising from your use of the Services, even if advised of the possibility of such damages.

8. Changes and Updates

We may modify these Terms at any time. If we make material changes, we will notify you (for example, via email or an in-app notice) before the updated Terms take effect. By continuing to use the Services or uploading videos after such notice, you agree to the revised Terms. We will maintain records of version history and effective dates for reference.

9. Termination

You may close your account at any time through the app or by contacting us. We may suspend or terminate your access if you violate these Terms or engage in unlawful activity. Sections concerning license grants, disclaimers, limitation of liability, and ownership of Developed Data will survive termination.
